what gfx card do you have ati or nvidia?
about a couple of years ago i had that very same issue on gta 4 i was running a ati radeon hd4670 1 gig and if i remember correctly it might be a driver issue just update it or go back to an earlier driver because i no longer been having that issue (earlier this year i ran gta 4 on my old radeon 4670 and it ran great (even though i formatted my hdd and reinstalled vista home edition 32 bit and i upgraded to a radeon hd6570 1 gig) and now im playing tbogt though

just try updating your drivers or try an older driver and see if that helps
sometimes newer drivers can cause more problems then they fix.
